Introduction

The website available at www.CorporateRenew.com ( “CorporateRenew”) is a service of TwigTek, Inc. (“TwigTek”) By using and/or visiting CorporateRenew’s site (the “Site”), you agree to the terms and conditions set forth herein. These Terms of Service govern your use of all areas, content, communications, and transactions on CorporateRenew.com.

Conditions of Use

TwigTek, Inc is a company, to which individuals and organizations offer to sell cell phones, laptop computers, and other items (“item”) through CorporateRenew.com (“CorporateRenew” or “us”). By using the CorporateRenew web site and participating in the service, you agree to the terms and conditions set forth herein. These terms are a legal agreement between you and CorporateRenew, and are collectively referred to herein as the “Agreement.”

As a condition of utilizing the functions and services provided by CorporateRenew, you must read and agree to be bound by all the terms and conditions contained in this Agreement. Should you access any area of the CorporateRenew website, use any tools, functions or services that the Site offers, view any text or graphics published on the site, or use any of our services, by either submitting an order on the CorporateRenew website or by telephoning, faxing, emailing, or writing to us to make that request, confirms that you have read this Agreement and agree to be bound by the terms and conditions contained herein.

Should you not agree to be bound by all the terms and conditions contained in this Agreement, you must refrain from engaging in any business activity with CorporateRenew or from contacting us to request information, product, or services.

Ownership

CorporateRenew.com and its applications, content, and other components of the Site are the property of TwigTek, Inc.  The Site and all materials, including but not limited to the CorporateRenew logos, designs, text, images, audio and video clips, and trademarks and the arrangement of the Site are copyrighted by CorporateRenew and are protected by United States and international intellectual property laws.

Accuracy of Information

CorporateRenew makes every effort to ensure the accuracy of all information presented on its website, literature or any communication. In the event of typographical errors, technical inaccuracies, pricing errors or omissions, CorporateRenew reserves the right to correct the error. If CorporateRenew corrects an error that will have a material effect on our settlement offer, CorporateRenew will provide you with the following options: (1) to continue with the transaction based on the corrected information; or (2) to cancel your transaction, in which case CorporateRenew will promptly return your shipment.

CorporateRenew contains links to third party web sites. CorporateRenew has not reviewed all of the sites linked via its web site, and is not responsible for the content of any linked sites. These links are provided solely for the benefit of our customers and do not imply any endorsement by CorporateRenew, its third party partners, or its employees. Use of any such linked website is at the user’s own risk. 

Contact Information

You agree and affirm that all contact information provided to CorporateRenew, including email address, physical address, and telephone numbers is current and that it is your responsibility to provide us with updated contact information. You further agree that any email message that we send to you, not returned by our mail servers, is deemed to have been effectively received by you and constitutes due notice to you by email. It is also further agreed that any phone message we leave with any individual answering your phone or on your answering machine or answering service, is effectively received by you and constitutes due notice to you given by telephone.

Pricing

All pricing displayed on CorporateRenew is subject to change without notice. CorporateRenew reserves the right to adjust pricing due to errors, market conditions, or other extenuating circumstances at the point of inspection. In the case that CorporateRenew offers a new valuation after inspection, you have seven (7) days to accept or reject the new quote. In the event that you do not reject the new offer, CorporateRenew will automatically accept the item and make payment at the revised price after the seven day period expires.

Product Valuation and Payment

All original quotes are based on your description of the device and data gathered through CorporateRenew. Quotes are valid for twenty-one days after the offer date, but are subject to change in the event that items are materially different than described on the Site or for any other reason deemed necessary and allowed by these Terms of Service. Final determination of an item’s value occurs after receipt of your package.

If a discrepancy comes up during the inspection process, CorporateRenew will communicate its revised offer. In the case that CorporateRenew offers a new valuation after inspection, you have seven (7) days to accept or reject the new quote. In the event that you do not reject the new offer, CorporateRenew will automatically accept the item after the seven day period expires.

The payment process begins as soon as your all of your items pass final inspection. Please allow up to seven (7) business days for processing before your payment is issued.

If payment via check is issued by CorporateRenew but is lost, a replacement check will only be issued after a sixty day waiting period.

Shipping Your Product to CorporateRenew

CorporateRenew utilizes United Parcel Service (UPS) as our primary shipping service. From time to time, CorporateRenew may utilize other shipping carriers at its sole discretion. Upon accepting CorporateRenew’s quote for an item and submitting the required information, CorporateRenew issues you a prepaid shipping label. If you use any shipping service or carrier besides that which is offered by CorporateRenew you must do so at your own expense.

With our shipping label you may either pack your items in your own shipping carton or use a box that is available for purchase at an UPS outlet. All shipping costs are prepaid when you use our prepaid label. If you wish to fully insure your package, insurance must be purchased by you at your sole expense.

Tracking Your Items

Once we receive your order we will notify you via email confirming the arrival of your item(s). Upon inspection of the order, we will again notify you. This email will either confirm that payment has been approved in the amount of the original quote, or will address any discrepancies with your item(s). Once your item(s) are fully processed and all items accounted for, an email will confirm that payment has been issued.

Product Inspection

Upon receipt of any order, CorporateRenew uses a rigorous process to inspect the item(s). CorporateRenew reserves the right to accept or deny any item. CorporateRenew will use its best discretion to determine the product value. If the item is consistent with the submission information, with all materials described, and arrives at CorporateRenew in a timely manner (within 21 days of the quote), CorporateRenew will honor the original quote offered for the product and reflected on the trade in receipt. In some cases, CorporateRenew may revise the original quote for the item if the item is not in the condition that was originally described. Item conditions are defined as:

• Perfect: An item in perfect condition functions flawlessly, shows no signs of use, and has no dust, scratches, or blemishes present.
• Good: An item in good condition functions flawlessly, shows small scratches and blemishes, but has a perfect screen.
• Fair: An item in fair condition functions flawlessly, shows worn keys and paint, and has scratches.
• Poor: An item in poor condition is fully functional, but may have one of more issues including a broken antenna, broken hinge, broken or cracked display, broken or missing keys, broken or missing trackball, broken ports or inputs, a burned screen, cracks or deep dents, dead pixels, internal modifications, a missing battery cover, a missing or corrupted ESN or MEID, a scratched display, or worn or scratched paint.

In rare instances (for non-functioning or unusable devices), CorporateRenew may revise an offer to zero, but will accept the item and ensure responsible recycling. In the event that CorporateRenew recalculates a quote, you will have to option to accept or reject that new quote within seven (7) days. If you chose to reject the new quote, CorporateRenew will return the item to you free of charge. In the event that you do not reject the new offer, CorporateRenew will automatically accept the item after the seven day period expires and issue payment at the revised price. 

Item Ownership

In order to use the CorporateRenew service, you must be at least 18 years of age and must own the right, title, and interest or be an authorized representative of the owner in any and all items that you seek to sell to CorporateRenew.

Such items, or the sale and shipment of such items, must not violate any applicable laws, statutes, ordinances, or regulations including export laws. You are responsible for complying with any and all such laws. Any items you seek to sell through the Site using CorporateRenew services: (1) shall not infringe on third party intellectual property rights (including copyrights, trademarks, patents, trade secrets or other proprietary rights), and (2) shall not be counterfeit, stolen, or fraudulent. You represent and warrant that the products are free of any liens or encumbrances.

By using the CorporateRenew service, you agree to indemnify CorporateRenew from all claims or losses sustained by CorporateRenew as a result of any breach of this warranty.

Passing of Title

Title of the item(s) passes to CorporateRenew upon arrival and acceptance at CorporateRenew's processing center. The passing of title is final, and all future decisions regarding items are at the sole discretion of CorporateRenew. In the case that CorporateRenew offers a new valuation after inspection, you have seven (7) days to accept or reject the new quote. In the event that you do not reject the new offer, CorporateRenew will automatically accept the item(s) after the seven day period expires and issue payment at the revised price.

Data Removal

CorporateRenew works tirelessly to maintain the highest standards of data security. For all items that use hard drives, memory cards, or other means of storing data, CorporateRenew uses its best efforts to remove all data, but makes no guarantees in this regard. It is highly recommended that you remove any and all data from your item(s) before the items are sent to CorporateRenew. By sending your items to CorporateRenew, you agree to release us from any any claim or liability as to the items and as to the data stored on the items. CorporateRenew is not responsible for any loss suffered by you as a result of data that is not erased from your device and obtained by a third party.

Transfer of Funds

CorporateRenew offers payment via check. Please allow up to ten (10) days after we receive the item to process your payment.

Shipping of Parcels from CorporateRenew

If you elect to have CorporateRenew return your shipment for any reason, CorporateRenew will insure the parcel for 100% of the most recent liquidation value as established and communicated in writing by CorporateRenew. Customer agrees to waive any additional losses not covered by the amount of insurance offered by CorporateRenew at its sole discretion.

CorporateRenew reserves the right to choose the return carrier, insurance provider and signature or receipt verification method for the shipment. In the event the items returned to the customer are lost in transit, the customer’s sole remedy is to seek reimbursement through the insurance carrier and such losses and claims are subject to the terms and conditions of the insurance carrier and the additional insurance purchased by CorporateRenew on the customer’s behalf if any, or the liquidation value determined by CorporateRenew whichever is greater.

If additional insurance coverage is requested on the return of your product, you will be notified of the additional insurance amount, the coverage and the additional cost for the insurance. A check must be sent and payable to CorporateRenew before the parcel will be returned.

Claims for Packages Originating at CorporateRenew:

If a shipment originating at CorporateRenew is lost and deemed unrecoverable, subject to the terms and conditions set forth herein, CorporateRenew will be liable only for the least amount as established by one of the following appraisal methods:

• CorporateRenew will pay 100% of the liquidation value as most recently established and offered by CorporateRenew.
• CorporateRenew will pay the total sum of one hundred and fifty dollars ($150.00 USD).

 Risk of Loss

You assume the risk of loss for any and all items until delivery of the items to CorporateRenew’s processing center. Packing and shipping recommendations should be followed to avoid possible damage or loss. You are responsible for any damages that may occur to your product while in transit.

Liability / Indemnification

You agree to indemnify and hold harmless CorporateRenew and all affiliates, directors, distributors, employees, licensors, officers, owners, and service providers from any claims or damages, including any incidental, indirect, special, consequential, punitive damages, or loss of profit or opportunity; claims, demands, or actions for any subrogation claim brought by your insurance carrier, and, by submitting an item to CorporateRenew you specifically waive any such subrogation claim as well as on the behalf your insurance carrier. By mailing a parcel of material to CorporateRenew for analysis, you explicitly and expressly accept CorporateRenew’s limitation of liability.

General Terms

CorporateRenew.com “CorporateRenew” provides its website and services to users subject to the terms laid out below. If you do not agree with any of the terms of this agreement, do not access or use the information or services on this Site. Your use of CorporateRenew shall indicate your agreement to abide by the terms.

You acknowledge and agree that any content, including but not limited to text, data, photos, graphics, etc. or other material contained or distributed on or through the Site, by CorporateRenew is protected by trademarks, service marks, patents, copyrights, or other proprietary rights and laws. You may not use or distribute any content received through the Site without the authorization of CorporateRenew. You agree not to publish, reproduce, copy, in whole or in part, nor upload, download, post, email, sell, or otherwise distribute content available through the Site, in violation of applicable copyright and other intellectual property laws.

CorporateRenew retains all rights, title, and interest in its technology, web site, content, and data. You will not decompile, reverse engineer, or disassemble CorporateRenew, its contents or technology. Additionally, you will not use CorporateRenew for any unlawful purpose, harvest or collect information about CorporateRenew without its express consent, add or use ActiveX, Java, Javascript, cookies, web beacons or other tracking technologies on CorporateRenew, or use information found on CorporateRenew to send spam. You agree that you will not use any robot, spider, scraper or other automated means to access CorporateRenew or harvest content from CorporateRenew.

CorporateRenew makes every effort to ensure the accuracy of all information presented on its website, literature or any other communication. In the event of typographical errors, technical inaccuracies, pricing errors or omissions, CorporateRenew reserves the right to correct the error.

The above terms and conditions are governed by and construed in accordance with Connecticut law, and no conflict of laws or provisions of any jurisdiction will apply to these terms and conditions. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the services provided by CorporateRenew of action must be filed within 60 days after such claim or cause of action arose or be forever barred.

This writing constitutes the entire Agreement between the parties and there are no other oral or collateral agreements or any kind or character except those contained herein. This Agreement may be changed or modified only by written agreement signed by CorporateRenew.
